I cannot begin to stress how important it is to make sure your business stays compliant with the state. Small business owners have a tendency to procrastinate when it comes to filing important paperwork and paying state fees, but if your business falls out of good standing with the state you will have to pay, both monetarily and with your time, to get your company compliant again. It?s a much, better idea to instead just buckle down and stay on top of everything, especially these three required areas.

Your Estimated Tax Payments

You really don?t want to test the boundaries of government oversight when it comes to taxes and the IRS. Anyone who is self-employed and expects to owe more than $1,000 when they file their return has make quarterly estimated tax payments. If your business is a corporation and you expect to owe more than $500, you also have to make estimated tax payments. The IRS does provide instructions on how to determine estimated tax, and when payments are due ? as a quick heads up, the next due date for 2013 is September 16^th. For individuals, these instructions are part of the 1040-ES package, and for corporations the instructions are part of the 1120-W. Now, it is okay if your calculations are slightly off, but if you?re grossly underpaid you will be hit by some steep fines. Paying estimated taxes can feel a bit like trying to predict the future, so most accountants recommend you pay at least 100% of the taxes you paid last year. If you are really worried, re-estimate in the middle of the year (August is a good month to do this during) and see how close your estimates were to what you actually owed during the first two quarters.

Your Annual Reports

If you run your business as a sole-proprietorship, you don?t have to worry about annual reports ? though we do recommend reconsidering your business structure. But, if your business is structured as an LLC or a corporation, most states will require you to file a report on your business and pay a fee every year. This report is meant to ensure that the information filed with the state, like who your registered agent is and where your business is located, is up to date. Not filing an annual report is one of the quickest ways to fall out of good standing, so make sure you always mark your calendar with when you need to file.

Respect Corporate Formalities

Neither sole-proprietorships nor LLCs have to worry about adhering to corporate formalities, though most business advisors suggest that LLCs should still hold annual meetings, adopt an operating agreement, and document any business decisions and financial activity for the sake of legal protection. Corporations, on the other hand, are required to adhere to strict, formalized operating procedures. When you form a corporation, you must hold an initial meeting for the directors to adopt bylaws, elect officers, and issue stock. After that, you have to have annual meetings for the directors and the shareholders, and keep the minutes for these meetings in your records. Business and financial activity must also be documented, and nearly any change to the business has to be adopted through corporate resolutions. It is easy to fall behind on the many formal requirements that corporations have to adhere to, but if the state looks into your records and sees you aren?t following the rules, they can revoke your status as a corporation. So keep detailed records and respect state requirements.

Staying compliant with the state can be a very time-consuming, arduous process, but it is something that every small business needs to do. Make sure you know exactly what deadlines you have to file by, how much money you have to send along, and what hoops you have to jump through to stay compliant. The last thing you want is to have to pay exorbitant fees and file a bunch of paperwork to get back into good standing, and putting in a little effort now will save you from having to worry and stress about your business?s standing later on.

9 Afghans killed in attack on Indian consulate

KABUL, Afghanistan (AP) ? Three suicide attackers killed at least nine civilians, most of them children, in a botched attack Saturday on the Indian consulate in an eastern Afghan city near the border with Pakistan, security officials said.

Police fired on the militants as they approached a checkpoint near the consulate in Jalalabad, prompting one of them to set off their explosives-laden car, said Masum Khan Hashimi, the deputy police chief of Nangarhar province. The blast killed nine bystanders, and wounded another 24 people including a policeman.

All three attackers also died, although it was not clear how many were killed by police fire and how many by the explosion.

In New Delhi, India's External Affairs Ministry spokesman Syed Akbaruddin says that all Indian officials in the consulate were safe.

Afghanistan's main insurgent group, the Taliban, denied in a text message that it had carried out the attack. Smaller militant groups based in Pakistan have targeted Indian interests in Afghanistan in the past.

Hashimi said the attack began when three men in a car approached the checkpoint. Two of the men got out of the car wearing vests rigged with explosives and a police guard immediately opened fire on them, Hashimi said. He added that the third man then detonated a large bomb located inside the car.

In 2010, two Kabul guest houses popular among Indians were attacked, killing more than six Indians. India blamed that attack on the Pakistan-based militant group Lashkar-e-Taiba.

The Indian Embassy was bombed in 2008 and 2009, leaving 75 people dead.

The attack came as the U.S. planned to close its embassies in the Muslim world for the weekend due to an al-Qaida threat.

A threat of an al Qaeda attack is "real and serious" and "we must not let our guard down," the chairman of the House Permanent Select Committee on Intelligence has warned after a worldwide alert was issued for all U.S. citizens traveling abroad. NBC's Kristen Welker reports.

A meeting of the National Security Council chaired by Susan Rice was held at the White House Saturday evening to discuss the latest intelligence regarding the?threat of an al Qaeda attack.

There are different views among analysts -- including whether a plot is already underway, with team members already selected, as reported Saturday by CBS.

At least some present at the meeting said they believed that to be the case, but others disagree. There is no consensus on whether the plot is underway, officials told NBC News.

The threat of an al Qaeda attack is ?real and serious? and ?we must not let our guard down,? the chairman of the House Permanent Select Committee on Intelligence warned after a worldwide alert was issued for all U.S. citizens traveling abroad.

In a statement issued Friday, the State Department warned the terror group and its affiliates ?may focus efforts to conduct attacks in the period between now and the end of August.?

On Saturday, President Obama was updated on a potential threat coming from the Arabian Peninsula, a White House official said. The president would continue to be updated throughout the weekend, according to the official.

U.S. officials said that the threat warning is based primarily on a "significant increase in chatter from a growing number of intercepts" throughout the region.

NBC News counter-terrorism analyst Michael Leiter and NBC's Richard Engel join Lester Holt with more on the al Qaeda threat.

Mike Rogers, the intelligence committee chairman, said the situation showed just how dangerous the al Qaeda network still is.

?The seriousness of the threat stream is a sober reminder of al Qaeda's determination and ongoing intention to commit acts of violence on Western and U.S. targets,? he said in a statement late Friday.

?The threats against American interests are real and serious and we must not let our guard down,? he added.

At least 22 embassies and consulates that normally open on Sundays -- mostly in the Muslim world -- were closing this weekend because of the potential threat.

The closures so far include diplomatic missions in Cairo, Tel Aviv, Riyadh, Baghdad, Kabul, and Bahrain.

"It is possible we may have additional days of closings as well, depending on our analysis,? a State Department official said.

The chairman of the House of Representatives Foreign Affairs Committee, Ed Royce, told MSNBC he believed it was ?probably now prudent, given the fact that, in this case, we do have this intelligence, to take this step to make certain that we have fully protected our embassy personnel.?

Britain said it would close its embassy in Yemen on Sunday and Monday. "We are particularly concerned about the security situation in the final days of Ramadan and into Eid," Britain's Foreign Office said in a statement, referring to the Muslim holy month that ends on Wednesday.

The intelligence says nothing about a specific target of the plot, U.S. officials said Friday. The United States is working with foreign spy agencies to try to find out more about the target.

The State Department?s alert said U.S. citizens ?should take every precaution to be aware of their surroundings and to adopt appropriate safety measures to protect themselves when traveling.?

The U.S. State Department has announced officials will close down all U.S. embassies across the Middle East on Sunday after Al-Qaeda-related intelligence suggested a threat. NBC's Andrea Mitchell reports.

"The Department of State alerts U.S. citizens to the continued potential for terrorist attacks, particularly in the Middle East and North Africa, and possibly occurring in or emanating from the Arabian Peninsula,? it added.

Terrorism expert Xenia Dormandy, U.S. director of London-based think tank Chatham House, said Friday it was the first time in memory that the U.S. had closed such a large number of embassies at once.

?The bottom line is clearly they?ve had firm intelligence from multiple sources that there?s an al Qaeda threat or an al Qaeda-affiliated threat," she said.

Dormandy said the United States' actions were likely influenced by the attack on the U.S. Consulate in Benghazi, Libya, in September, in which Ambassador Christopher Stevens and three other Americans were killed.

?I think they are being cautious because any attack on American diplomats is something they want to avoid at all costs," she added. "I think they are certainly likely to be more nervous now about making a mistake than they were before the Libyan [Benghazi consulate] attack, but they?ve seen the consequences of what can happen if you don?t take precautions, so it?s perhaps an appropriate response."

France to close embassy in Yemen temporarily on security fears

PARIS (Reuters) - France said it would close its embassy in Yemen for several days from Sunday and urged its citizens in the country to take precautions because of elevated security threats.

The decision came after similar moves by Britain and Germany, which followed a U.S. decision to close more than a dozen embassies temporarily in the Middle East and Africa.

The U.S. State Department said on Thursday American embassies that would normally be open this Sunday - including those in Abu Dhabi, Baghdad and Cairo - would be closed that day because of unspecified security concerns. On Friday, it also issued a global travel alert to its citizens.

"Intelligence officers have reporting from a reliable source that a major plot is under way and that the team to carry it out has been selected and is in place," CBS News reported on Saturday.

However, U.S. authorities do not know the date, the timing or the target of the planned attack, it said.

"We have elements that lead us to believe that the threat is very serious and other countries have also taken similar steps," French President Francois Hollande said during a Saturday visit to southwest France focused on agricultural issues.

"Therefore the embassy (in Yemen) will be closed for several days. We are also conscious that we will have to keep up extreme vigilance in the coming weeks, especially for people travelling in the area."

A French Foreign Ministry spokesman confirmed the move but said only that the embassy would be closed on August 4.

Interpol, the France-based international police agency, on Saturday issued a global security alert advising member states to increase vigilance against attacks after a series of prison breaks in Iraq, Libya and Pakistan. Interpol said it was investigating to determine if the escapes were linked.

Prison breaks took place in Pakistan on July 31 in a Taliban-led operation, and in Iraq at the Abu Ghraib prison overnight on July 22. Some 500 convicts, among them senior al Qaeda operatives, escaped from Abu Ghraib.

More than 1,100 inmates broke out of a prison on the outskirts of Benghazi on July 27.

The European Union said that it would be taking "all necessary precautions" following the U.S. announcement.

"We are particularly concerned about the security situation in the final days of Ramadan and into Eid," the British Foreign Office said in a statement, referring to the Muslim holy month which ends on Wednesday evening.

Senate in prolonged vote over Obama ATF pick

WASHINGTON (AP) ? Unexpectedly short on a crucial showdown vote, Democrats struggled Wednesday to secure confirmation for a new director of the Bureau of Alcohol, Tobacco, Firearms and Tobacco but succeeded in dramatic fashion in getting one Republican senator to switch her vote and help them.

Democrats had seemed about to lose an effort to clear President Barack Obama's nominee to head the agency, B. Todd Jones, for a vote on final passage.

But after Sen. Lisa Murkowski, R-Alaska, voted to support GOP delaying tactics aimed at derailing the nomination, she was swarmed by Democratic senators urging her to switch her vote.

In a prolonged spectacle played out largely in full view on the Senate floor, the scrum around Murkowski was quickly enlarged when Republican senators joined the group, trying to persuade her not to switch.

More than a dozen lawmakers spent nearly an hour imploring Murkowski, first on the Senate floor and then in a private cloakroom. After about 20 minutes of talks in the cloakroom, Murkowski emerged and switched her vote.

That still left Democrats one short of the 60 votes needed to end filibusters.

Democrats were waiting for one of their members, Sen. Heidi Heitkamp of North Dakota, to return to the Capitol and cast the decisive vote for Jones.

Heitkamp was on her way back to Washington from North Dakota, a Heitkamp aide said.

Another aide said Heitkamp was expected back around 6 p.m.

While most Senate roll calls take about 20 minutes, the Jones vote already had lasted more than two hours by late afternoon.

Workers' Compensation: Truck Drivers Beware ? Your Insurance ...

There is a scam out there and truck drivers are the victims, especially if they are seriously injured in a trucking accident. It works like this: an out of work driver hears about a job and fills out an application with a national trucking company. He then gets a call saying he has been accepted as a driver, contingent on a physical exam and a drug test.

The driver is then asked to show up at work on an appointed date for his first delivery job. When he shows up he is asked to ?sign papers? which allow him to lease/own the truck as he drives it across the country, and he signs a contract that declares that he is an independent contractor (although in reality the trucking company controls the deliveries and is the only source of revenue for the driver).

Further, he is required to purchase accident insurance through a broker designated by the trucking company and the premiums are taken out of his paycheck. Because the driver is anxious to work again and is not particularly experienced in reviewing legal documents the driver signs the papers, gets in the truck and begins working again as an interstate truck driver.

The costs of this workplace injury are now shifted from the employer/insurer to the taxpayer.

Like most of us, these drivers never expect to be in a serious accident. If they unfortunately do have an accident while driving the truck, they look to the accident policy they purchased. If they are disabled, it pays the same benefits as workers? compensation and provides medical coverage.

Many drivers think they are actually on workers' compensation. The catch is that all benefits stop after 104 weeks (2 years). If after that time if the driver is still disabled and still needs medical care, it is a shock to find out none is available under this contract.

Is there no hope for the truck driver under these circumstances?

Why 104 weeks? Most states have workers? compensation systems that require the claim be filed within 2 years. Since the 2-year period has run, the driver is out of luck and cannot file for workers? compensation under state law. What happens if the driver needs additional surgery and continues to remain disabled? Most likely federal assistance programs like Medicaid or Medicare enter the picture and the costs of this workplace injury are now shifted from the employer/insurer to the taxpayer.

If involved in a serious accident, be aware of the 104-week provision and file a workers? compensation claim before that time period expires.

Is there no hope for the truck driver under these circumstances? Although it might be a tough fight, most workers' compensation statutes specifically state that an employer cannot contract away its obligations under the Workers? Compensation Act. Thus, the truck driver?s legal argument is that the contract designating the driver as an independent contractor was void as a matter of law. If the employee has been the subject of fraud, equity may allow the driver to go ahead and file a claim and pursue the action even through the 2-yr period has run. Under these circumstances, certainly in North Carolina, the driver would have an opportunity to pursue this claim.

The lesson to be learned by truck drivers is not to assume that the contract you have innocently signed is valid. If involved in a serious accident, be aware of the 104-week provision and file a workers? compensation claim before that time period expires. Finally, if you are asked to sign one of these contracts and you have options of other employment, you may want to decline this job offer and work for a company that is more ethical. Your livelihood and the welfare of your family may depend on this important decision.

Worker dies after accident at Sarasota Military Academy

SARASOTA - A painter working on renovations at Sarasota Military Academy died Wednesday after he was found pinned between the building and a personnel lift.

Two witnesses found the man, an employee of Service Painting of Florida, shortly before 10 a.m. They were able to lower the machine's bucket, damaging a temporary chain-link fence, and call 911, according to the Sarasota Police Department.

The man, whose identity has not been released pending notification of relatives, was unconscious when taken by ambulance to Sarasota Memorial Hospital. He was pronounced dead at the hospital, according to Genevieve Judge, police spokeswoman.

An investigation continues to determine if it was a work-related accident or medical issue.

"Out of respect for the family members, and in deference to the work being done by involved authorities, the company should not, and will not, speculate about the cause or causes of this tragic loss," said Liz A. Perez-Lavin, president of Service Painting of Florida, in a statement emailed to the Herald-Tribune. "The company intends to cooperate with the authorities in any investigation. On behalf of Service Painting of Florida, and all of its team members, we wish to extend our thoughts and prayers for ... his family."

Representatives of the Occupational Safety and Health Administration are looking into the incident.

Daniel Kennedy, headmaster of Sarasota Military Academy, called it "a very sad situation," but would not speak about the details of the case.

Construction will continue as planned.

EARLIER... A crane has collapsed at the Sarasota Military Academy campus, blocking traffic on North Orange Avenue.

There is no word yet on whether anyone has been injured as a result of the collapse, which occurred around 10 a.m. today at the academy, located in the 800 block of North Orange Avenue.

Workers' Compensation: Truck Drivers Beware ? Your Insurance ...

There is a scam out there and truck drivers are the victims, especially if they are seriously injured in a trucking accident. It works like this: an out of work driver hears about a job and fills out an application with a national trucking company. He then gets a call saying he has been accepted as a driver, contingent on a physical exam and a drug test.

The driver is then asked to show up at work on an appointed date for his first delivery job. When he shows up he is asked to ?sign papers? which allow him to lease/own the truck as he drives it across the country, and he signs a contract that declares that he is an independent contractor (although in reality the trucking company controls the deliveries and is the only source of revenue for the driver).

Further, he is required to purchase accident insurance through a broker designated by the trucking company and the premiums are taken out of his paycheck. Because the driver is anxious to work again and is not particularly experienced in reviewing legal documents the driver signs the papers, gets in the truck and begins working again as an interstate truck driver.

The costs of this workplace injury are now shifted from the employer/insurer to the taxpayer.

Like most of us, these drivers never expect to be in a serious accident. If they unfortunately do have an accident while driving the truck, they look to the accident policy they purchased. If they are disabled, it pays the same benefits as workers? compensation and provides medical coverage.

Many drivers think they are actually on workers' compensation. The catch is that all benefits stop after 104 weeks (2 years). If after that time if the driver is still disabled and still needs medical care, it is a shock to find out none is available under this contract.

Is there no hope for the truck driver under these circumstances?

Why 104 weeks? Most states have workers? compensation systems that require the claim be filed within 2 years. Since the 2-year period has run, the driver is out of luck and cannot file for workers? compensation under state law. What happens if the driver needs additional surgery and continues to remain disabled? Most likely federal assistance programs like Medicaid or Medicare enter the picture and the costs of this workplace injury are now shifted from the employer/insurer to the taxpayer.

If involved in a serious accident, be aware of the 104-week provision and file a workers? compensation claim before that time period expires.

Is there no hope for the truck driver under these circumstances? Although it might be a tough fight, most workers' compensation statutes specifically state that an employer cannot contract away its obligations under the Workers? Compensation Act. Thus, the truck driver?s legal argument is that the contract designating the driver as an independent contractor was void as a matter of law. If the employee has been the subject of fraud, equity may allow the driver to go ahead and file a claim and pursue the action even through the 2-yr period has run. Under these circumstances, certainly in North Carolina, the driver would have an opportunity to pursue this claim.

The lesson to be learned by truck drivers is not to assume that the contract you have innocently signed is valid. If involved in a serious accident, be aware of the 104-week provision and file a workers? compensation claim before that time period expires. Finally, if you are asked to sign one of these contracts and you have options of other employment, you may want to decline this job offer and work for a company that is more ethical. Your livelihood and the welfare of your family may depend on this important decision.

Rory MacDonald wins UFC on Fox 8 snooze fest over Jake Ellenberger

The co-main event at UFC on Fox 8 was supposed to be a chance for the next welterweight contender to make a statement. The bout between Rory MacDonald and Jake Ellenberger figured to be an exciting bout between the two most likely men to fight for the welterweight belt after champion Georges St-Pierre and Johny Hendricks fight. Instead, MacDonald won a decision in a snooze fest.

MacDonald established a jab early in the fight, and continued to use it throughout the bout. He didn't come up with big moves that could finish the fight, though. Instead, he was content to rely on the jab again and again.

Ellenberger played the fight even more cautiously than MacDonald. He couldn't find a way to avoid MacDonald's jab and set up a strike or a takedown. The Division II wrestling All-American couldn't get a takedown until late in the third round. This fight was his big opportunity to get to the championship shot, but his cautiousness kept him from getting the win.

The crowd was unrelenting in their boos, and even UFC president Dana White was disappointed.

"I obviously look to finish fights, but he?s a good fighter, so what can you do? I think I had him worried with the elbows because he didn?t want to come near me after that. That wasn?t my game plan, but I accomplished what I needed to do," MacDonald said after the fight.

Though MacDonald got the win, there is no guarantee he will get a title shot any time soon after that performance. He trains with St-Pierre, and appeared to learn from his safe, but not exciting, approach. At 15-1, he has the resume for a title shot. But will the UFC want to feature him if this is the fight fans remember?

Catholics hear pope's call to shake up church

RIO DE JANEIRO (AP) -- In the thick of his historic visit to Brazil this week, Pope Francis urged young Catholics to make a "mess" in their dioceses and break out of their spiritual cages.

Francis' exhortation, spoken Thursday during a special meeting with Argentine faithful, won him acclaim as a renegade leader of the world's biggest church. But it also left many of his followers with their own interpretations of the pontiff's words about the need to shake up the church.

Some said they thought Francis wanted them to object more forcefully when taught modern ideas that clash with church doctrine. Others said it meant hitting the streets and pushing for social change.

"If in my biology class they speak about abortion, I should raise my hand and say I don't believe in that," said Maria Alejandrina de Dicindio, a 54-year-old Argentine catechism teacher who had traveled to Rio to see her pope, a fellow Argentine. "The youth should open their mouths when it's their turn."

For Mexican pilgrim Gilberto Amado Hernandez, the pope's message meant he should start showing off to the world Jesus Christ's message of love.

"It's difficult to meet young people who want to get close to Christ," Amado said. "We have to show them that faith is something beautiful."

Francis himself didn't specify what to do, but he has displayed his own mold-breaking ways throughout this week's visit to Rio de Janeiro and rural Sao Paulo state, his first overseas trip as pope.

The first pontiff from the Americas worried security officials by riding through massive crowds atop an open-sided popemobile rather than the fully enclosed, bulletproof vehicle his last two predecessors used. He's also ventured straight up to well-wishers to kiss babies and bless children and met privately Friday with juvenile offenders to provide counsel.

While speaking to his fellow Argentines Thursday, Francis said Catholics should make a concerted effort to get outside their own worlds.

"I want to see the church get closer to the people," he told them. "I want to get rid of clericalism, the mundane, this closing ourselves off within ourselves, in our parishes, schools or structures, because these need to get out."

His final message: "Don't forget: make trouble."

In his own way, he lived those words as the archbishop of Buenos Aires, Argentina, before being selected as pope in March.

Then known as Jorge Mario Bergoglio, the future pope largely abandoned the kinds of luxuries favored by other high-ranking church officials. He rented out the archbishop's luxurious suburban mansion, living instead in a spartan room in a downtown church office building. He also rode subways and buses around town rather than keep a chauffeur.

Francis' visit to a Rio slum on Thursday wasn't his first such venture. He made regular unescorted trips to dangerous slums as archbishop and saw to it that every major "misery village" in Buenos Aires had a chapel and a priest to spread the Lord's word.

He also encouraged young people and the laity to take on leadership roles in parishes that were previously held by priests, so that church members would have much more say in what happens in their communities. Though the Catholic Church openly supported Argentina's 1976-1983 dictatorship, Francis later approved sainthood investigations for priests who were killed by the military government.

Yet pope biographer Sergio Rubin said Francis the archbishop also had a very keen sense of politics and took care to act prudently, choosing his battles and avoiding challenging superiors in ways that would backfire.

He wasn't so gleeful and devoted to the crowd, seemingly mindful that he didn't yet have the power to make a big splash in the church, according to an Argentine Catholic official who asked not to be identified because he wasn't authorized to talk publicly about church politics.

Instead, Francis molded the church in Argentina in quieter ways by hiring and promoting a new generation of outgoing priests in his own model, and not only fellow Jesuits used to living among lay people.

His replacement as archbishop, Mario Poli, had impressed Bergoglio by earning a degree in social work from the public University of Buenos Aires. In a book of dialogues with a friendly rabbi, Francis said, "This is a much better situation, because in the (university) you become acquainted with real life, the different points of view there are about it, the different scientific aspects, cosmopolitanism. . It's a way of having your feet well planted in the earth."

The shake-up message is also one he's applying as pope to the Vatican's staid and dysfunctional bureaucracy. Francis has made clear that big change is on the way, naming commissions of inquiry to investigate the scandals at the Vatican bank and propose an overarching reform of the entire central governance of the Catholic Church.

The pontiff has dived into the crowds that have greeted him at the Vatican and in Brazil.

During two raucous rides down Copacabana beach, he's waved, smiled and stopped repeatedly to accept gifts thrown at him from the crowd. At one point, Francis gave away his own white skullcap and put on another one tossed in from the street.

For Argentine student Ana Paula Garrote, Francis was showing Catholics they needed to live that type of spirit.

"For me, the pope wanted to say that we should go out into the streets, not stay in the parishes, and not be ashamed of talking about God," Garrote said. "The pope is telling us to talk about God without impunity because we have the truth, in uppercase, and we aren't alone."
